Pennsylvania wholesaling laws
Law addressing wholesaling in effect · Reviewed July 24, 2026
Act 52 of 2024 amended Pennsylvania's Real Estate Licensing and Registration Act to cover "wholesale transactions": someone engaging in one acts as a broker/salesperson and must be licensed, and the consumer gets mandatory contract disclosures plus a right to cancel.
What the law requires
- Engaging in a wholesale transaction is broker/salesperson activity requiring a license from the State Real Estate Commission — the owner self-dealing exclusion doesn't apply.
- The consumer may cancel until midnight of the 30th day after signing, or until conveyance if sooner (and any time before conveyance if the required disclosures are missing).
- All payments must be refunded within 10 business days after a cancellation notice.
- The contract must prominently disclose it's a wholesale transaction where the licensee assigns the interest for a fee without taking title, plus the right to an appraisal, to consult counsel, the 30-day cancellation, and the refund.
